Price Band fixed between Rs. 135 and Rs. 153 per Equity Share

Mumbai, August 8, 2011: Tree House Education & Accessories Limited (the “Company” or the “Issuer”), one of the leading providers of educational services of India, which operates the largest number of self-operated pre-schools in India (Source: CRISIL Report, December 2010), is proposing to open on August 10, 2011, an initial public offering (“IPO”) of upto 8,432,189 equity shares of face value of Rs. 10 each (“Equity Shares”) for cash at a price (including a premium) per Equity Share to be determined through a Book Building Process (the “Issue”). The Issue will constitute 25.01% of the fully diluted post-Issue paid-up capital of the Company.  The Price Band has been fixed between Rs. 135 and Rs. 153 per Equity Share. Bids can be made for a minimum of 40 Equity Shares and in multiples of 40 Equity Shares thereafter.

The Company in consultation with the Book Running Lead Managers (“BRLMs”) will offer a discount of Rs. 6 per Equity Share on the Issue Price to Retail Individual Bidders. The Bid/Issue will close on August 12, 2011.

The Equity Shares offered through the Red Herring Prospectus are proposed to be listed on National Stock Exchange of India Limited and Bombay Stock Exchange Limited. 

The BRLMs to the Issue are JM Financial Consultants Private Limited and Motilal Oswal Investment Advisors Private Limited.

Tree House Education & Accessories Limited has been ranked amongst the 100 Small Business of the year 2010 in the annual survey conducted by the Franchising World. As of June 15, 2011, the Company has 223 pre-schools under the brand name of “Tree House” across 33 cities (as per municipal limits) in India. As of June 15, 2011, of the 223 pre-schools, 149 are operated by the Company, or self-operated, and the rest are operated through franchisees. As of March 31, 2011, the self-operated pre-schools served more than 5,000 students, which do not include the students at the franchisee operated pre-schools, primarily in the age group of 1.5 to 6 years. In recent years, it has branched into providing educational services to K-12 schools and as of March 31, 2011, it provides such services to 12 schools which have over 5,000 students, in 4 cities in India.
